Section 1055. Expenses in Successful Defense. -- Notwithstanding any other provision of this chapter, to the extent that an Indemnified
Representative has been successful on the merits or otherwise in defense of any Proceeding referred to in Section 1051 of the Bylaws or in
defense of any claim, issue or matter therein, he or she shall be indemnified against Liabilities actually and reasonably incurred by the Indemnified
Representatives in connection therewith. The Association shall also make such other indemnification as shall be required by statute.
